We provide bespoke and/or packaged services including but not limited to AI development,
automation, web & mobile app development, and digital marketing. Specific terms for
each engagement (scope, deliverables, timelines, fees) are set out in separate quotes,
proposals, or service agreements that supplement these Terms.

4. Client Responsibilities

  • You agree to provide accurate information and timely cooperation necessary for us to perform the Services.
  • You are responsible for obtaining necessary rights and permissions for any third-party content you supply.
  • You must not use the Services for unlawful purposes or to upload harmful content.

5. Payment, Fees & Refunds

Fees for Services will be set out in the relevant proposal or invoice. Unless stated otherwise:

  • Invoices are payable within the timeframe specified in the invoice (commonly 7–30 days).
  • Late payments may accrue interest and/or result in a pause of Services until payment is received.
  • Refunds, if any, are issued only as described in the applicable agreement or at our discretion.

6. Intellectual Property

Unless otherwise agreed in writing:

  • We retain ownership of our pre-existing tools, libraries, and methodologies.
  • On full payment of fees, deliverables specifically created for you will be assigned to you, subject to any third-party licenses.
  • We may showcase non-confidential work in our portfolio or marketing materials.

7. Confidentiality

Each party agrees to keep confidential information received from the other party secure and not to disclose it to third parties except as required by law. Confidential information does not include information that is public or independently developed.

8. Privacy

9. Warranties & Disclaimers

We strive to deliver high-quality Services, but except where prohibited by law, to the fullest extent permitted:

  • We do not guarantee specific results (e.g., search rankings, revenue increases) unless expressly promised in a signed agreement.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Services is limited to the total fees paid by you to us for the Services giving rise to the claim in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

You agree to indemnify and hold ProcentiveAI and our officers, employees, agents and contractors harmless from claims, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms, misuse of the Services, or infringement of any third-party rights.

12. Termination

Either party may terminate an engagement as provided in the applicable service agreement. We may suspend or terminate access to the Services if you materially breach these Terms and fail to cure the breach within a reasonable time (if curable).

13. Changes to Terms

We may modify these Terms from time to time. We will post the updated Terms on our website with a revised “Last updated” date. Continued use of the Services after changes indicates acceptance.

14. Governing Law

These Terms are governed by the laws of the jurisdiction where ProcentiveAI is registered, without regard to conflict of law principles. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

15. Third-Party Services & Links

We may use third-party tools, platforms, or services to deliver work. You agree to comply with any applicable third-party terms. We are not responsible for the content, privacy, or practices of third-party sites linked from our website.

16. Entire Agreement

These Terms, together with any separate written agreements between you and ProcentiveAI, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements.
